The tender offer by The Carlyle Group Inc. (CG) to acquire all of the outstanding common stock of bluebird bio, Inc. (BLUE) was extended and was scheduled to expire one minute after 11:59 p.m. ET, on May 29, 2025, unless extended or terminated. On May 14, 2025, the company announced that the definitive agreement has been amended. Under the terms of the amended agreement, shareholders can elect to receive either the original offer of $3.00 per share in cash plus a contingent value right of $6.84 per share in cash payable upon achievement of a net sales milestone, or $5.00 per share in cash. Please refer to the press release dated May 14, 2025 for details on instructions for shareholders. The subsequent merger closed prior to the market open on June 2, 2025. In anticipation of the closing, the stock was halted immediately following the after-hours session at or around 7:50 p.m. on May 30, 2025. The stock will remain halted on the day of closing (June 2nd) and will be suspended effective June 3, 2025. The details are as follows:
