At a special meeting held on February 7, 2020, shareholders of DD3 Acquisition Corp. (DDMX/U/W) approved a proposal to adopt the Business Transaction Agreement which provides for a business combination between DD3 Acquisition Corp. and Betterware de Mexico, S.A. de C.V. The merger is expected to become effective on March 12, 2020. As a result of the merger and effectiveness of the business combination, each Ordinary Share of DD3 Acquisition Corp. (DDMX) will be exchanged for an Ordinary Share of Betterware de Mexico, S.A. de C.V. Each warrant (DDMXW) of DD3 Acquisition Corp. will be exchanged for a warrant of Betterware de Mexico, S.A. de C.V. The warrant will not list on Nasdaq. The Unit of DD3 Acquisition Corp. (DDMXU) will be suspended from trading. The details are as follows:
As a result of the business combination the combined company will be renamed Betterware de Mexico, S.A. de C.V. and list its Ordinary Share on the Nasdaq Capital Market. The details are as follows:
